• “Agency,” “We,” “Us,” “Our”: Refers to Fourlines Agency, registered in Pakistan.

• “Client,” “You,” “Your”: Refers to any individual, company, or entity engaging our services.

• “Services”: Refers to all services offered by the Agency, including but not limited to Social Media Marketing, SEO, Web Development, Ecommerce Solutions, and Custom Services.

• “Proposal” or “Statement of Work (SOW)”: A formal document outlining the specific services, deliverables, timeline, and costs for a particular project or subscription.

2. Services
The specific scope of services, deliverables, timelines, and fees will be detailed in a separate Proposal or SOW provided to you. The SOW, once signed or agreed upon, becomes a part of these Terms.

3. Client Obligations
To enable us to perform our services effectively, you agree to:

• Provide timely access to all necessary information, data, and resources, such as website backends, social media accounts, and branding assets.

• Provide timely feedback and approvals as required. Delays in providing feedback may impact project timelines.

• Ensure that all information and materials provided to us are accurate and that you have the legal right to use them.

4. Fees and Payment

• Fees for our Services will be outlined in the SOW.

• Subscription services are billed in advance. Project-based services may require an upfront deposit, with subsequent payments tied to project milestones.

• All invoices are due upon receipt unless otherwise specified. Late payments may incur a late fee of 1.5% per month on the outstanding balance.

• We reserve the right to suspend services for accounts that are more than 15 days overdue.

• All fees are exclusive of any applicable taxes, which will be added to your invoice as required by law.

5. Term and Termination

• Subscription Services: Either party may terminate the agreement by providing at least thirty (30) days written notice to the other party.

• Project-Based Services: The agreement terminates upon the successful completion and final payment of the project.

• Termination for Cause: We may terminate this agreement immediately if you breach any material term of these Conditions, including failure to make timely payments.

6. Intellectual Property

• Client Content: You retain all intellectual property rights to the content you provide to us (e.g., logos, text, images).

• Deliverables: Upon full and final payment, you will own the intellectual property rights to the final, completed deliverables (e.g., website design, custom code).

• Agency IP: We retain ownership of all our pre-existing intellectual property, including our methodologies, tools, software, and proprietary processes used to create the deliverables.

7. Confidentiality
Both parties agree to keep all confidential information of the other party private and not to disclose it to any third party without prior written consent, except as required by law.

8. Disclaimer of Warranties and Limitation of Liability

• We will perform our services with reasonable care and skill. However, we do not guarantee any specific results. For example, we do not guarantee a #1 ranking on search engines or a specific increase in sales or followers.

• To the maximum extent permitted by law, Fourlines Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, or goodwill.

• Our total liability to you for any claim arising out of or relating to these Terms or our Services shall not exceed the total amount of fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

9. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan.

10. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of our services after such changes constitutes your acceptance of the new Terms.
